7 Key Points for Signing Shock Absorber Bearing Procurement Contracts

Signing a shock absorber bearing procurement contract is one of the most critical steps in foreign trade. A well-drafted contract effectively mitigates risks and protects both parties' interests.

Contract Signing

1. Specify Product Specifications

Contract must detail: bearing model, bore, OD, width, precision grade, material, hardness. Attach technical drawings or sample confirmation as annex.

2. Quality Standards & Inspection

Specify: industry standards (GB/T 307, ISO 281), AQL sampling plans, handling of non-conforming products, quality objection period.

3. Delivery & Delay Penalties

Specify exact delivery days, partial shipment terms, delay penalties (0.5% per day), and force majeure clauses.

4. Price & Payment Terms

Clear unit price, total price, currency, price terms (FOB/CIF). Recommend T/T 30% deposit + 70% against B/L copy.

5. Packaging & Marking

Anti-rust paper + desiccant inner packaging, 5-layer corrugated outer. Wood packaging must be IPPC certified.

6. Dispute Resolution

Specify applicable law, negotiation first then arbitration, CIETAC or similar institution.

7. Confidentiality & IP

For OEM products, specify confidentiality obligations, IP ownership, prohibition of reverse engineering.
